Important: EverflowCFO is a financial advisory firm, not a chartered bank or licensed lender. Capital solutions are facilitated through our network of regulated lending partners. All loan decisions are made by our partners.
Acceptance of Terms
By accessing or using EverflowCFO's website, platform, or services ("Services"), you acknowledge that you have read, understood, and agree to be bound by these Terms of Service ("Terms"). These Terms constitute a legally binding agreement between you and EverflowCFO, Inc.
If you are using our Services on behalf of a business entity, you represent that you have authority to bind that entity to these Terms, and "you" refers to both you individually and such business entity.
If you do not agree to these Terms, do not use our Services.

EverflowCFO provides financial advisory services to businesses, including but not limited to:
Growth Capital Advisory
Connecting businesses with capital solutions through our lending partner network
Tax Intelligence
R&D tax credit analysis and tax strategy consulting
Payroll Optimization
Section 125 implementation, PEO analysis, and benefits structuring
CFO Advisory
Fractional CFO services, financial modeling, and strategic planning
Service Limitations: EverflowCFO does not provide legal advice, certified public accounting services, or licensed investment advice. We recommend consulting with appropriate licensed professionals for such matters.
Eligibility
To use our Services, you must:
- 1Be at least 18 years of age or the age of legal majority in your jurisdiction
- 2Be authorized to represent the business entity seeking our Services
- 3Operate a legally registered business in the United States
- 4Provide accurate and complete information as requested
- 5Not be prohibited from using our Services under applicable laws
User Obligations
You agree to:
- Provide accurate, current, and complete information
- Maintain the confidentiality of your account credentials
- Notify us immediately of any unauthorized account access
- Use our Services only for lawful purposes
You agree not to:
- Submit false, misleading, or fraudulent information
- Interfere with or disrupt our Services or servers
- Attempt to gain unauthorized access to any part of our Services
- Use our Services to engage in any illegal activity
Fees & Payment
Fees for our Services vary based on the specific solutions engaged. All fees will be clearly disclosed before you commit to any paid services.
Advisory Services
Engagement-based fees disclosed in your service agreement
Capital Facilitation
Success-based fees, typically a percentage of capital secured

Contingent fees based on credits successfully claimed

Initial assessments are provided at no cost

Not a Lender
EverflowCFO is not a bank, credit union, or licensed lender. All lending decisions are made by our third-party lending partners in their sole discretion.
Not Tax or Legal Advice
Our services do not constitute tax, legal, or investment advice. Consult with qualified professionals for matters requiring licensed expertise.
"As Is" Basis
Our Services are provided "as is" and "as available" without warranties of any kind, either express or implied.
Limitation of Liability
To the maximum extent permitted by law, EverflowCFO and its officers, directors, employees, and agents shall not be liable for:
- Any indirect, incidental, special, consequential, or punitive damages
- Loss of profits, revenue, data, or business opportunities
- Decisions made by third-party lending partners
- Actions or inactions of third parties
Our total liability shall not exceed the fees paid by you to EverflowCFO during the twelve (12) months preceding the claim.
Termination
Either party may terminate the relationship at any time. Upon termination:
- Your right to use our Services will immediately cease
- Any outstanding fees will become immediately due
- We will retain your data as required by law and our Privacy Policy
We reserve the right to suspend or terminate access for violations of these Terms.
Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of New York, without regard to its conflict of law provisions.
Any disputes arising from these Terms or your use of our Services shall be resolved exclusively in the state or federal courts located in New York County, New York.
Arbitration: At our discretion, we may elect to resolve disputes through binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules.
